Terms & Conditions

Thank you for your interest in becoming an ambassador ("Referring Partner") for Tiffany Wilburn and Clever Disruption ("Agent"). By participating in my referral program, you agree to the following terms and conditions:

1. Program Overview: My ambassador referral program is designed to reward Referring Partners who refer new clients to me, Agent.
2. Eligibility: To participate in the program, you must be at least 18 years old.
3. Referral Process: To refer a new client to Agent, simply make a business introduction via email or in-person with the potential client and Agent informing the potential new client about the Agents executive Marketing services. Agent shall determine in its sole discretion whether or not it wishes to pursue or express interest in the prospective client’s project.
4. Reward: If the Referring Partner referral results in a new scope of work, successful completion of a project, and subsequent payment, the Referring Partner will receive a commission equal to 10% of the new commission earned by Agent from the referred client. The new scope of work must meet or exceed $1,000 in fees to qualify. Initial Gross Revenue is for new projects only. It is measured by the total gross revenues as reflected on the initial services agreement including any subsequent services entered into within 60 days of the initial services agreement between Agent and Clients of Agent. Initial Gross Revenue does not include subsequent service revenues after the Initial Period (60 days). 
5. Payment: Commissions will be paid out within 30 days of the successful completion of the project and receipt of payment from the referred client. Payments are preferred to be made via PayPal.
6. Fair Use: Referrals should be made in good faith and not involve any misleading or unethical practices. Referrers found to be engaging in spamming or unethical behavior will be disqualified from the program.
7. Modification of Terms: Agent reserves the right to modify or terminate the referral program at any time without prior notice.
8. Additional Terms: To qualify for a referral payment, the referral must be a new client. The Referral Fee will not apply to past referrals, current clients, or existing prospective clients that Agent has already spoken to directly or as part of a presentation, event, or conversation. The Referral Fee is a one-time payment for any initial contract closed with a new client and, therefore, does not apply to additional projects or services with the referred client or any subsequent referrals from the client.
9. Independent Contractor. Referring Party is, and shall perform all Services as, an independent contractor, and nothing in this Agreement shall in any way be construed as Referring Party being an employee of Agent. The referring Party shall not have any authority to create any obligation or responsibility, express or implied, on behalf of or in the name of the Agent. Agent may act in its sole discretion in all matters related to accepting or rejecting any project introduced by the Referring Party. The referring Party shall perform the Services hereunder as an independent contractor (with no Agent- sponsored benefits) and therefore agrees to furnish all tools and materials necessary to fulfill its obligations under this Agreement.
10. Term/Termination. Either party may terminate this Agreement at any time with written notice. Said termination shall not, however, release Agent from paying any and all payments due the Referring Party on all Signed projects.
11. Targeting and Flexibility - An initial list of target brands, businesses, and agencies will be agreed upon by both parties to focus efforts. This list is not exhaustive, allowing Referring Party the flexibility to explore and recommend potential Clients outside of the agreed targets.
12. Acceptance of Terms: By participating in the referral program, you acknowledge that you have read, understood, and agree to abide by these terms and conditions.
13. Confidentiality - Both parties commit to maintaining confidentiality regarding any shared information, using it solely for the purposes of this commercial partnership.
